By checking the "I Agree with kAInet's Terms & Conditions" box, you agree to be bound by these Terms as of the date you register as a customer of kAInet (referred to as "We," "Us," "Our," or "kAInet").
These Terms of Use (the "Terms") are a legally binding agreement between Express Analytics (the company behind kAInet), with its registered office at [ADDRESS], and you, the user (referred to as "You," "Your," or "Customer"). Each order made through kAInet incorporates these Terms by reference.
kAInet is a proprietary web application that creates and manages online advertising campaigns for third-party advertising networks including Google Ads, Meta, TikTok, and others. Our services are available through our website at https://kainet.tech/.
2.1. Grant of License: We grant you a non-transferable, non-exclusive license to access and use kAInet solely for lawful purposes and in accordance with these Terms.
2.2. User Responsibility: You are solely responsible for your use of kAInet, including use by your employees, agents, or other authorized individuals. You must implement reasonable security measures to prevent unauthorized access or use of kAInet.
2.3. Prohibited Activities: You shall not allow any third party to use kAInet, modify its code, or gain unauthorized access to the platform. You may not reverse engineer, decompile, or attempt to extract the source code of any part of kAInet.
3.1. Accurate Information: You must provide and maintain true, accurate, and up-to-date account information.
3.2. Content Responsibility: You are solely responsible for all text, logos, images, and other materials ("Customer Content") uploaded to kAInet, including compliance with third-party advertising network policies. If you do not comply with third-party advertising networks' Terms or kAInet's Terms, any of the following actions may be taken: (1) your ad might be rejected; (2) we might suspend or terminate your kAInet account.
3.3. Compliance with Laws: You agree not to use kAInet for any illegal, obscene, or immoral purposes and ensure all uploaded materials are virus-free. You must comply with all applicable laws and advertising policies.
3.4. Corporate Authority: If acting on behalf of a company, (a) you warrant that you are authorized to bind the company to these Terms, and (b) you represent and warrant that your company or corporate entity is properly incorporated or properly able to perform acts in law.
4.1. Data Accuracy: The Customer will be solely responsible for the user's name, email and password of the account. The Customer is responsible for the accuracy and veracity of the personal data provided in the sign-up and for future modifications.
4.2. We do not own any keyword data, information, performance data, paid search campaigns or material that You submit to Us in the course of Us providing the Service to You (collectively called "Customer Data").
4.3. You hereby grant Us a worldwide, royalty-free, non-exclusive right during the Term to use, reproduce, create derivative works of, distribute, perform, transmit and publish your Customer Data solely for (i) processing your Customer Data in connection with providing the Services to you; and (ii) storing or hosting the Customer Data for access by You.
4.4. Ownership of Data: You retain ownership of your advertising data ("Customer Data"). kAInet processes Customer Data solely to provide the Services.
4.5. Privacy Policy: kAInet acts as a data processor. You have the right to access, amend, or delete your personal data. For details, see our Privacy Policy at https://kainet.tech/privacy.
4.6. Aggregated Metrics: kAInet may compile aggregated data metrics for analytics purposes, ensuring no uniquely identifiable information is disclosed.
4.7. All data related to your use of the Services, not including Customer Data, shall be owned by kAInet.
5.1. Modifications: We reserve the right to modify the Services at any time without prior notice.
5.2. Service Scope: kAInet is provided "as is" and "as available." We are not responsible for the success or failure of advertising campaigns. We have no obligation to review Your use of kAInet. We do not control, nor are We to be held responsible for, Your use of kAInet or any content that You send or receive through kAInet.
6.1. Ownership: All software, algorithms, AI models, and data processed by kAInet are our exclusive property.
6.2. Restrictions: You may not rent, lease, sublicense, distribute, transfer, copy, modify, or reverse-engineer kAInet or any part thereof.
7.1. You agree to the terms of kAInet's privacy policy at https://kainet.tech/privacy which may be modified from time to time.
7.2. Confidential Information: You agree to protect any confidential information disclosed during your use of kAInet.
7.3. Injunctive Relief: We may seek legal remedies for breaches of confidentiality or misuse of kAInet's intellectual property.
8.1. Subscription prices are based on Your chosen plan, and reflect the offering shown on Our website at the time You entered into this agreement.
8.2. You must provide kAInet with a valid credit card or bank account as a condition to signing up for the Services. You represent that you are authorized to provide any credit card or bank account information you use to sign up for the Services.
8.3. You shall pay all fees to your account in accordance with the fees and billing terms in the applicable Order.
8.4. The first billing period begins on the date of registration as a kAInet customer and renews monthly thereafter on the corresponding date.
8.5. Late Payment: We reserve the right to suspend Services for late payments.
8.6. Advertising Fees: If using kAInet's Advertising Buying Feature (Section 10), a service fee applies as specified on the platform at the time of use. This fee may increase if we detect policy violations to cover our additional costs and risks.
9.1. Eligibility: Free credit vouchers are subject to specific terms available in your account. Misuse may result in account suspension.
9.2. You will not be notified once the kAInet free voucher has been used up.
9.3. Limitations: Unused free credit vouchers are not refundable.
10.1. Service Scope: The Advertising Buying Feature allows you to quickly and easily create third-party ad accounts and purchase Google, Meta, and other advertisements directly from within your kAInet account. The Advertising Buying Feature is an add-on to your kAInet account. When creating a campaign, you will be required to select a daily advertising budget. You agree to pre-fund a set number of days of the selected daily budget upfront. Ads will then be placed on your behalf according to the criteria you select until your budget is fully utilized.
10.2. Automatic Top-Up: If your campaigns are still enabled and your Advertising Credits balance reaches zero, kAInet may automatically charge your payment method to avoid campaign disruption. You will receive an in-app notification and email when this charge is processed.
10.3. Unused Budget: Any unused portion of your advertising budget will be credited to your account as "Advertising Credits" and may be used toward future campaigns. Advertising Credits do not expire and cannot be used for other kAInet services.
10.4. Compliance: kAInet may refuse service or limit, suspend, or terminate your access to the Advertising Buying Feature at any time. By using the Advertising Buying Feature, you agree to comply with all applicable advertising platform policies (Google, Meta, TikTok, etc.). These platforms are not affiliates or representatives of kAInet.
10.5. Suspensions: If your ad account is suspended by external ad platforms, you may be required to provide identity verification documents for refunds.
This agreement remains effective as long as you are a registered user of kAInet.
12.1. Termination by Either Party: Either party may terminate this agreement with notice.
12.2. Refunds: Unused advertising credits will be refunded upon request; consumed credits are non-refundable. Subscriptions cancelled after 48 hours from the start of a billing period are non-refundable for that period.
kAInet is provided "as is" without any warranties. We disclaim all implied warranties to the maximum extent permitted by law.
kAInet, our respective officers, directors, shareholders, employees, advisors, contractors, licensors, and agents (collectively the "kAInet parties") are not responsible for any content provided by third parties (including clients).
The kAInet parties disclaim any representation or warranty regarding (a) the success of kAInet, (b) the error-free or interruption-free nature of kAInet, (c) that the Services will meet your requirements or expectations, or (d) that products, services, information, leads or other material obtained through the Services will meet your requirements. The platform is provided "as is," "with all faults" and "as available" without warranty of any kind.
In no event shall the kAInet parties be liable for any consequential, incidental, indirect, special, punitive, or other damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or other pecuniary loss) arising out of or relating to these Terms or the use of or inability to use kAInet, even if we have been advised of the possibility of such damages.
Our total liability for any claims under these Terms shall not exceed the total amount paid by You to kAInet in the three (3) months preceding the event giving rise to the claim. We are not liable for indirect or consequential damages.
We may update these Terms and will notify you via email or in-app notification. Updated Terms are available on our website at https://kainet.tech/. Your continued use of kAInet after the effective date of updated Terms constitutes your acceptance.
These Terms are governed by the applicable laws of the jurisdiction in which Express Analytics operates. Any disputes will be resolved in the competent courts of that jurisdiction.
